<p>Company law is full of confusing terms, and if you don&#8217;t know what they mean then settung up a company can start to look far more scary than it really should be. Read through this jargon buster and you should find it much easier to understand what starting up is all about.</p>
<p>Capital. This is money that is going to be invested in a business. Example: &#8216;I am starting my business with $5,000 capital, $2,000 of which is my own&#8217;.</p>
<p>Contract. When you sign a legal document, you are entering into a contract. Starting a business lets you sign and enter into contracts on behalf of the business &#8212; the contract will be between the other person and your company, not you.</p>
<p>Director. The people ultimately in charge of a company are its directors. For a large company, there will be a boards of directors, appointed by the shareholders. For a home business, though, you can appoint yourself as the sole director since you are also the sole shareholder (see &#8217;shareholder&#8217;).</p>
<p>Incorporation. This is the formal name for the process of starting a company. Example: &#8216;My business was incorporated in March 2000&#8242;.</p>
<p>Insolvency. When a company cannot afford to pay its debts. The type of company you have set up will affect what happens in this situation &#8212; you may be liable for all of the debt yourself, or for none.</p>
<p>Limited liability. A limited liability company is one where you agree beforehand how much responsibility you will take if anything goes wrong. This protects you from being destroyed financially if something bad happens to your business.</p>
<p>Office. Your company&#8217;s &#8216;office&#8217; isn&#8217;t just a place with computers &#8212; it&#8217;s also a legal concept, meaning where your company is based. Your company must have a registered office, which means that you can&#8217;t start a company unless you have an address which would be legal to use for this purpose.</p>
<p>Private. A home business will be private, which means that members of the public cannot invest by buying shares. This does not stop individuals from buying percentages of your company if you are willing to sell, though. Starting your company as a private one also doesn&#8217;t stop you from converting it to a public one later on.</p>
<p>Proxy. Someone who acts as a proxy for you acts on your behalf &#8212; you have given them the legal right to speak for you. For example, if you get a lawyer to handle the incorporation of your company, they will be incorporating it for you by proxy.</p>
<p>Shareholders. The shareholders are the people who own the company. In your company, you will be the only shareholder (and so own 100% of your business), unless you&#8217;ve made a deal with someone else for them to own a share.</p>
<p>Latin.</p>
<p>When you&#8217;re dealing with law, the amount of Latin involved can be confusing. Here are some Latin terms you might come across when you&#8217;re setting up your company.</p>
<p>Bona fide: &#8216;in good faith&#8217;. This is used to mean that someone says they are telling the truth.</p>
<p>De facto: &#8216;in fact&#8217;. Used when something has happened that makes the &#8216;real&#8217; situation take precedence from the legal one.</p>
<p>De jure: &#8216;in law&#8217;. The opposite of de facto.</p>
<p>Ex gratia, &#8216;out of grace&#8217;. When something will be done for no fee.</p>
<p>Prima facie, &#8216;at first sight&#8217;. Something that seems true but is wrong.</p>
<p>Quid pro quo, &#8217;something for something&#8217;. When a fee will be charged for a service (or services will be exchanged).</p>
<p>Be Careful with Jargon.</p>
<p>However much jargon you might begin to encounter as you start your business, don&#8217;t start to use it yourself. It will make it so that only &#8216;insiders&#8217; will understand what you mean, and everyone else will feel either a little silly or a little annoyed. By the same token, if you&#8217;re speaking to someone (your accountant, for example) and they use some jargon you don&#8217;t understand, there&#8217;s nothing wrong with asking them to explain what they mean &#8212; it&#8217;s their fault for using an overly technical word, not yours for not knowing it.</p>
<p>If you&#8217;re not sure, there&#8217;s a simple rule: jargon is for communicating very specific, technical meanings. It shouldn&#8217;t be used to replace everyday language, as it does nothing but cause confusion.</p>

<p>Computer repair jobs in large companies are one of the first areas that the pencil pushers attack when the economy goes south. It&#8217;s an easy slow moving target that is pure cost, with no direct line to profits.</p>
<p>New projects, software and hardware upgrades, and ongoing service take a back seat to sales and marketing efforts. This is never a good thing for both the users, who don&#8217;t get the support they need, and the computer technicians who need a job.</p>
<p>Most IT departments represent a big cost. And the payroll is usually well above many of the other business units. To find and keep good technicians, you have to pay a good price. Which is good during an economic boom but when money gets tight, it&#8217;s one of the first targets of opportunity for cutbacks.</p>
<p>A downturn in the economy is a good time to take the entrepreneurial spirit out of the closet and put it to work for enterprising computer technicians. A good computer technician can make a decent living doing onsite computer repair and service.</p>
<p>Most small companies have no IT staff and need to use a freelance computer repair guy or gal to do the miscellaneous software and hardware chores. Companies that have just enough employees, say over 7 but fewer than 20, are a perfect market for the independent computer repair and service entrepreneur.</p>
<p>Many don&#8217;t realize it but small companies make up the bulk of employees in our economy. The number of small businesses is huge and it&#8217;s a large and lucrative market for many service companies of all types. Since many companies rely on computers and software to run their business, it&#8217;s a top priority.</p>
<p>The biggest problem for the transition to freelance computer repair is finding the clients and running the basic business aspects. Most technicians are already technically qualified but lack basic marketing and day-to-day operational skills for running a computer repair business.</p>
<p>After 30 years in the business I can tell you that it&#8217;s not brain surgery but there are a few tricks to making it work. The number one thing to keep in mind at all times is that you are in a service business. That means you make sure the customer is satisfied.</p>
<p>You also have to adhere to any local laws and licensing. All you really need to get started is a DBA (go to your local county offices and register a business name for doing business as), a bank account that recognizes the DBA (for paying bills and making deposits). Most states require that you collect sales tax so the next task is to apply for a sales tax permit.</p>
<p>Most states allow you to do this online and you can do a search for sales tax permit and state name to find the website. It will have all the basic rules and information you will need to register and get your permit. By the way, do not fail to file your sales tax reports or you will be fined in most states, even if you had no activity.</p>
<p>One of the easiest ways to make sure you do all the basic accounting for tax purposes is to buy one of the several small business accounting packages. They take you step by step through the setup and can teach you a lot about what transactions need to be tracked and why. You can also look for a local accountant that deals with small businesses in your area that can help you get started.</p>
<p>One of the first questions I get asked by potential clients or even people who are thinking about doing computer repair is what do I charge. This is dependent on a couple of things. One is the market area, large metro areas like Los Angles or Houston mean higher hourly rates. Small rural areas will have lower rates.</p>
<p>Scope of work and client have a bearing on your compensation. If you deal with high-end services and difficult technical issues, you can command a higher rate. If you are setting up a 3 user home network, probably a lesser rate.</p>
<p>The whole compensation side is dictated by competition, market area and size, and often complexity of the service. So just call around and see what the going rates are and charge accordingly. Always remember you can go down with little resistance but going up is a much tougher scenario.</p>
<p>The primary area of confusion for the new computer repair business owner is marketing your services. Obviously business cards to hand out with contact information and type of services you plan to offer is the cheapest and quickest way to start.</p>
<p>Handing out flyers with more detailed information, talking to friends and business associates, advertising in local papers or publications are all good marketing techniques. But one often overlooked marketing method is recommendations by satisfied customers.</p>
<p>Good people skills are a must. You want every client to be happy when you leave and recommend you to others. This means that you need to communicate well with any and all levels of users.</p>
<p>Never talk down to an inexperienced user, be careful to explain any issues in plain English and don&#8217;t go computerese on them. Keep it simple and easy to understand.<br />
Many of the most common repairs are working with the users, not hardware or software problems.</p>
<p>When you have your own business, time management is critical. Don&#8217;t under estimate what it will take when giving quotes. In the field anything can happen and it&#8217;s better to be a hero and finish early than to have to explain why it took longer.</p>

<p><strong>How I Became a Copywriter without Knowing It</strong></p>
<p>Coming from a &ldquo;third world developing country&rdquo; where the use of the Internet was either a form of luxury or a necessity, I barely had an idea of how powerful the Internet could be. Since the necessity factor took place in my personal environment, I finally became acquainted with the global computer network and all it has to offer. Whereas before, surfing the net was merely a form of exploring to while away my free time as a housewife, the web became an indispensable tool in my new found career as a copywriter.</p>
<p>I enjoy reading a whole lot since it transported me to different places and dimensions. It widened my vocabulary and further developed my ability to use the English language as a tool for communication. Little did I know that this same hobby could provide me with a career opportunity that was quite remote from my then existing career as a freelance accountant and a full-time housewife. I became an article content writer and a copywriter.</p>
<p>Exploring the World Wide Web (www) is fascinating mainly because of all the information we could get from it. Home guitar lessons, ballet tutorials, gardening facts and tips and a broader understanding of common ailments, you name it the web has it. I came across career opportunities and became interested about outsourced jobs. I initially searched for online bookkeeping work since this was more in line with my profession and experience; instead I became a freelance article writer and a copywriter.</p>
<p>Online bookkeeping jobs seemed too much to handle. Service buyers required too much work for too little pay and besides, there were too many competitions for a limited online career opportunity. I took interest in the copywriting category and saw that I could fit in with most of its requirements. I placed bids and posted messages, got ignored and rejected probably because I was not a native of an English speaking country. </p>
<p>I finally got my break when I answered a post looking for writers preferably coming from different time zones. My chances were great since my qualifications met with all its requirements, including that of &ldquo;not being a Pakistani&rdquo;. (It turned out that the service buyer is a Bangladeshi and it&rsquo;s a known fact that they had been warring countries for some time.) I placed the lowest bid possible: &ldquo;the rate is not so important since I only want to make a breakthrough in an online writing career.&rdquo; It worked! I got hired!</p>
<p>The succeeding two months after I got the job was a harried phase of turning over articles after articles about all sorts of keyword based topics. Acne, hair loss treatments, joint pains, cellulite creams and other similar products including treatments for erectile dysfunction became topics for my reading materials. I wrote about more than a hundred of 500-word articles until my accountant&rsquo;s instinct told me that I was not earning profitably. Two months and I only had less than a hundred dollars credited to my account.</p>
<p>I decided to level up my game and started bidding for other projects. I reminded myself that I am engaged in a freelance job hence I could look for higher earning opportunities. I became bolder with my bids this time since I already knew the kind of job I&rsquo;ll be taking on. Sure enough, the move paid off. My new service buyer, an American copywriter paid twice the rate for what I was earning before. It made me happy of course and a little bit greedy. I figured if I could take on more article writing tasks, I&rsquo;m bound to earn more.</p>
<p>The opportunity to bring my writing career to a higher level came when job ads indicated a preference for Filipino writers. This was heartwarming on my part; my race was finally being recognized in a profession where only the native English speakers could successfully make it. Prior to making my bid, I make a research about the service buyer just to have an idea of how much I was going to place as bid. Some service buyers are also article writers who won bids for large volumes of work with the intention of passing it on to other writers. These are the service buyers who can not pay much for the work so I avoid placing bids on their projects. </p>
<p>Fortunately, a Chicago based company mainly engaged in providing marketing services to web based businesses took notice of my bid and appreciated my work samples; enough to put me into a paid trial test of writing an article about &ldquo;free poker online&rdquo;. I was a bit taken aback since of all topics to write about, poker was the least I expected. I hardly knew anything about the game so I knew that I was being tested here more on research ability rather than writing skills. I passed and I got hired once more. Now I enjoy writing more than ever because jobs are coming in from two different sources and at reasonable rates.</p>
<p>Engrossed as I was with what I was doing, I never had time to research on copywriting as a career. Only when I did articles about article marketing did I realize that what I was doing all along was copywriting. I had this pre-conceived notion that copywriting was a highly technical job. I wrote more than a hundred articles about generic product description and information about its benefits plus some convincing lines to its effects. I became a copywriter without being aware that I was one.</p>
<p>I learned about article submissions, article directories and about ArticleBase. This time, I&rsquo;m writing not for a product or as a marketing tool. I&rsquo;m writing for my own satisfaction as a writer, as an expression of gratitude for those who believed in me and for once, not as a copywriter. </p>
